Satellite builder Astro Digital to go public via SPAC

What happened

Astro Digital agreed Sept 28 to go public through a SPAC merger with Proem Acquisition Corp I at a $587 million pro forma valuation. The deal brings up to $180 million in gross proceeds from Proem's trust account and a $50 million PIPE. Astro Digital has delivered nearly 40 satellites since 2018 for NASA, the Pentagon, Boeing and Sony. Its satellites include Starcloud-1, the first to carry an NVIDIA H100 GPU to orbit. Its incoming board includes former OneWeb CEO Adrian Steckel and former Space Development Agency director Derek Tournear. Closing is targeted for Q1 2027.

Read-across for SES

Astro Digital's listing gives orbital compute a fifth funded, profitable manufacturer alongside Starcloud, Orbital and Three-Body/Xingshu. SES's own space-data ambitions face a widening field of capitalized rivals building the infrastructure layer, not just the compute payloads. Astro Digital's disclosed profitability at scale is a harder bar than most newspace peers set for SES's DoD-relay pitch to clear. Its Space Development Agency-linked board also signals continuity between commercial orbital-compute manufacturing and US government demand.

As the brief filed it

[AGE: 27h] Astro Digital agreed to go public via a $587M SPAC merger, adding a profitable rival builder to the orbital-compute field SES is watching.
